HEAD TRIP INC.
Doing Business As MILLI FURY
AFFILIATE PARTNERSHIP AGREEMENT
Art with a Wild Side | millifurypro.com | sales@millifurypro.com
This Affiliate Partnership Agreement ("Agreement") is between Head Trip Inc., doing business as Milli Fury ("Company"), and the person or business identified in the acceptance section ("Affiliate"). Milli Fury is a trade name of Head Trip Inc., not a separate contracting entity. An application or referral link does not constitute approval. This Agreement becomes effective when Affiliate accepts it and Company confirms acceptance in writing ("Effective Date").
1. Admission; independent status
Affiliate admission, promotional channels, and any material changes to those channels require Company approval. Participation is nonexclusive, and neither party guarantees any number of referrals, purchases, earnings, or promotional opportunities. Affiliate is an independent contractor and is not an employee, partner, joint venturer, agent, or authorized representative of Company. Affiliate has no authority to bind Company and is responsible for its own taxes, insurance, equipment, and operating expenses. No administrative access to Company accounts or customer lists is granted.
Affiliate shall provide accurate legal/business identity and contact information, active public promotional channels, intended traffic sources, and reasonably requested evidence of marketing activity. Company may deny an application or withdraw approval subject to this Agreement and applicable law.
2. Commission rates and advancement
Tier | Commission | Cumulative qualifying orders
Starter | 5% | 0-99
Established | 7% | 100-999
Premier | 10% | 1,000 or more
Tiers are based on cumulative, verified qualifying customer orders, counted once per completed checkout regardless of item quantity. Canceled, returned, refunded, fraudulent, duplicated, self-referred, or ineligible orders do not count. Upon verification that Affiliate has reached 100 qualifying customer checkouts, the commission rate increases to 7%. Upon verification of 1,000 qualifying customer checkouts, the rate increases to 10%. Company will verify eligibility and adjust the rate individually. Earned increases apply to future qualifying orders, are not retroactive, and remain in effect while Affiliate participates in good standing.
3. Customer offers and eligible products
An approved Affiliate may promote a Company-issued 10% customer discount on products Company designates as eligible. Only written-authorized referral links and codes may be used. Discounts may not stack with COLOR25 or any other Company promotion. Affiliate shall not create, alter, redistribute to coupon aggregators, or promise unauthorized discounts. Company may prospectively exclude particular products or collections because of insufficient margins, marketplace restrictions, or legal requirements by giving notice. Earned commissions on prior eligible orders are not retroactively reduced.
4. Qualifying referrals and attribution
A commission is earned only on an eligible, legitimate customer purchase materially generated by Affiliate's authorized promotion and reasonably attributable to Affiliate. A tracking cookie, referral link, UTM parameter, or coupon appearing on an order is evidence but does not by itself establish entitlement. Orders independently generated by Company's own direct mail, email/SMS, organic or existing-customer campaigns are not commissionable merely because affiliate tracking appears. An existing customer is not categorically excluded if reasonable evidence shows Affiliate genuinely generated a distinct eligible purchase.
Company shall assess attribution disputes in good faith using reasonably available campaign records, traffic origins, purchase and customer history, and submissions from Affiliate. Affiliate shall retain reasonable evidence of its promotions and provide it on request. A commission may be held during a documented, proportionate investigation, but valid earned commissions shall not be arbitrarily withheld.
5. Commission base, approval, and payment
Commission is calculated on eligible merchandise revenue actually received by Company after customer discounts, excluding taxes, shipping, gift cards, returns, refunds, chargebacks, canceled items, and excluded products. Tracking reports and pending dashboard balances are provisional until manual verification. No automatic payout is promised.
For commission purposes, one verified sale means one completed, paid, fulfilled, and approved customer checkout, regardless of the number of products purchased. A checkout containing multiple items counts as ONE verified sale toward commission milestones. Commission applies to all eligible merchandise in that qualifying checkout, not solely the product promoted by Affiliate.
Affiliate commission begins at 5%. Upon reaching 100 cumulative verified qualifying checkouts, Affiliate's commission increases to 7% on future qualifying sales. Upon reaching 1,000 cumulative verified qualifying checkouts, the rate increases to 10% on future qualifying sales for the lifetime of Affiliate's participation in good standing. Increases are not retroactive. Canceled, refunded, fraudulent, or otherwise disqualified orders do not count toward these milestones.
An otherwise eligible commission becomes payable no earlier than 30 days after its order is both paid and fulfilled, provided it is not returned, disputed, or under a reasonable documented investigation. Once verified eligible balances reach $25, Company will remit payment no later than 15 business days after the end of the month in which the balance became eligible, provided Affiliate supplied accurate payment and legally required tax information. Approved balances below $25 carry forward. The parties shall agree on a supported payout method; Company may use mailed checks.
On termination, valid remaining balances below $25 will be paid within 60 days following completion of the applicable verification period if complete payout details have been provided. Refunded, fraudulent, reversed, or incorrectly credited orders may be canceled or adjusted; lawful overpayments may be offset against future amounts. Company will provide a brief reason for a rejected or held commission upon request, and Affiliate may respond with supporting evidence within 14 days of notice. Undisputed amounts remain payable on schedule.
6. Advertising conduct and legal compliance
Affiliate shall make clear and conspicuous disclosures of the material commission relationship in each endorsement where required, comply with applicable FTC endorsement guidance and laws, and follow platform advertising, privacy, intellectual property, email, and messaging rules. Statements must be accurate and reflect genuine experience or opinion. Affiliate shall not use false reviews, deceptive claims, impersonation, unsolicited bulk messages, purchased contact lists, or unlicensed copyrighted content.
Without Company's prior written permission, Affiliate shall not: engage in paid advertising or bidding on Company names and trademarks; distribute Company codes on deal/coupon sites; solicit customers by email or text; use misleading domains; or use cookie stuffing, forced clicks, hidden redirects, browser extensions, tracking injection, affiliate self-purchases, fake orders, coupon hijacking, or other attribution manipulation. Any promotion of age-restricted or regulated merchandise requires specific written authorization and compliance with all applicable laws and platform policies.
7. Brand materials, confidentiality, and customer information
Company grants Affiliate a limited, revocable, nonexclusive, nontransferable license during approved participation to use Company-supplied brand names, links, product descriptions, and images solely for authorized promotion, without altering the original artwork or implying Company endorsement of unrelated products. All intellectual property remains with its owner. Affiliate shall promptly remove materials after permission ends. Affiliate shall not access, acquire, sell, disclose, or misuse Company nonpublic information or customer personal data and shall promptly report suspected unauthorized access involving Company information.
8. Communications and notices
Official affiliate communications shall use sales@millifurypro.com or the Company's official GoAffPro affiliate portal contact and communication functions. WhatsApp, Telegram, and other unofficial messaging platforms are not authorized for Company affiliate business. Notices of approval, changes in rate or policy, account suspension, termination, and sensitive payment instructions must be documented in writing through an approved channel. Company may independently verify any requested change to payment or account information.
9. Oversight, suspension, and termination
Company may reasonably request promotion examples, traffic-source details, and related records to verify compliance. Either party may terminate participation by written notice. Company may suspend promotional privileges or disputed commissions during investigation of documented concerns and may terminate immediately for fraud, material breach, or legal risk. Affiliate must stop new referrals and use of Company marks and codes upon termination. Post-termination referrals do not earn commissions unless Company agrees otherwise in writing. Termination does not extinguish valid, previously earned commissions, which remain payable subject to Section 5.
10. Trial period and prospective amendments
Participation is subject to an initial 90-day evaluation period beginning on the Effective Date. Continued participation and any revised terms are subject to Company review. Company may amend program rules or future commission rates by written notice to active affiliates; any material amendment shall apply prospectively no sooner than 15 days after notice unless a shorter period is required to address fraud, security, legal, or platform compliance. Affiliate may terminate rather than accept an amendment. Valid commissions earned before a change remain governed by the terms in effect when earned.
11. General terms
This Agreement and written Company-approved individual terms constitute the agreement concerning the affiliate program and supersede earlier program proposals. Any waiver must be in writing; failure to enforce a provision once does not waive it later. If a provision is unenforceable, the remainder remains effective to the extent legally permissible. Maryland law governs, without regard to choice-of-law principles, except where mandatory law provides otherwise. Neither party may assign this Agreement without the other's written consent, except Company may assign it in connection with a transfer of its business. Electronic signatures and documented email acceptance are permissible to the extent allowed by law.
12. Acceptance
By signing below, or by expressly accepting these terms via a documented electronic communication, Affiliate acknowledges and agrees to this Agreement. Company must confirm Affiliate approval in writing before the account is active.
